Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TRUTH mobile application ("App"), the website seetruth.app ("Website"), and all related services (collectively, the "Service") operated by Brain Energy LLC ("we," "us," "our," or the "Company").

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, e.g., 16 in the EEA) to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

If you are between the minimum age and 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Description of Service

TRUTH is a social media analytics tool that provides insights into publicly available Instagram account activity, including but not limited to:

• Viewing recent follows and followers of public Instagram accounts
• Tracking changes in follower and following counts over time
• Sending push notifications about detected activity changes
• Providing analytics and insights based on public profile data

The Service accesses only publicly available information from Instagram. We do not access private accounts, private messages, login credentials, or any data that is not publicly visible on the Instagram platform.

3. No Instagram Affiliation

4. Account & Registration

The Service does not require you to create a user account or provide Instagram login credentials. You are not required to log in with any social media account to use the Service.

If you subscribe to a paid plan, your subscription is managed through Apple App Store (for iOS), Google Play Store (for Android), or our web payment processors. Your purchase is associated with your App Store/Google Play account or the email used for web purchases.

5. Subscriptions & Payments

5.1 Free Features

The Service provides limited free features, including a preview of tracking results. Full access to all features requires a paid subscription.

5.2 Subscription Plans

We offer various subscription plans, which may include weekly, monthly, and annual billing periods. Pricing is displayed in the App or on the Website at the time of purchase. Prices may vary by region and are subject to change.

5.3 Billing & Auto-Renewal

• Subscriptions purchased through App Store or Google Play are billed and managed by the respective platform. Subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours before the end of the current period.
• Web subscriptions are billed through our payment processors and follow the same auto-renewal terms unless canceled before the renewal date.
• You can manage and cancel subscriptions through your App Store account settings (iOS), Google Play subscriptions (Android), or by contacting us for web purchases.

5.4 Free Trials

We may offer free trial periods. If you do not cancel before the trial expires, your subscription will automatically convert to a paid subscription at the then-current rate. Free trials are limited to one per user per device.

5.5 Refunds

• App Store purchases: Refunds are governed by Apple's refund policy. You must request refunds directly through Apple at reportaproblem.apple.com.
• Google Play purchases: Refunds are governed by Google Play's refund policy. You must request refunds through Google Play.
• Web purchases: You may request a refund within 7 days of purchase by contacting us at contact@brainenergy.app. Refunds after 7 days are at our sole discretion.

5.6 Price Changes

We reserve the right to change subscription prices at any time. Price changes will not affect existing active subscriptions until the next renewal period. We will provide reasonable notice of price changes.

6. Referral Program

We may offer a referral program that rewards users for inviting new users to the Service. The following terms apply:

• Referral rewards are subject to the specific terms and conditions of the active referral program, which may change at any time.
• We reserve the right to modify, suspend, or terminate the referral program at any time without prior notice.
• Fraudulent referrals (including self-referrals, fake accounts, or manipulation) will result in forfeiture of all rewards and potential account termination.
• We reserve the right to withhold or revoke rewards if we determine, in our sole discretion, that referral activity is fraudulent or violates these Terms.
• Reward payouts are subject to verification and may be delayed up to 60 days to allow for fraud detection.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Harass, stalk, threaten, or intimidate any person using information obtained through the Service.
• Use the Service for illegal surveillance or any activity that violates applicable laws, including privacy and data protection laws.
• Scrape, crawl, or automatically extract data from the Service using bots, scripts, or other automated means.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Circumvent technical restrictions or security measures implemented in the Service.
• Resell, redistribute, or sublicense access to the Service or data obtained through it.
• Create multiple accounts to abuse free trials, referral programs, or promotional offers.
• Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity.
• Use the Service to make decisions that may negatively impact someone's employment, credit, housing, education, or other opportunities protected by law.
• Use data from the Service for targeted advertising, data brokering, or building consumer profiles for commercial sale.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its design, code, features, trademarks, logos, text, graphics, and all other content created by us (collectively, "Our Content") is owned by Brain Energy LLC and protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from Our Content without our prior written consent.

8.2 Instagram Content

Instagram profile data, usernames, images, and content displayed through our Service belong to the respective Instagram users and/or Meta Platforms, Inc. We do not claim ownership of any Instagram content. Our Service merely facilitates access to and analysis of publicly available data.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use, modify, and incorporate such feedback into the Service without obligation to you.

9. Data Accuracy & Disclaimers

• No Guarantee of Accuracy — While we strive to provide accurate data, we do not guarantee that the information displayed is complete, current, or error-free. Instagram may change its platform, data availability, or policies at any time, which may affect the accuracy or availability of our Service.
• No Guarantee of Availability — We do not guarantee uninterrupted or error-free operation of the Service. Maintenance, updates, technical issues, or external factors may cause temporary disruptions.
• No Professional Advice — The Service provides informational data only. It does not constitute legal, relationship, investigative, or professional advice. You are solely responsible for how you interpret and act upon information obtained through the Service.
• Third-Party Platform Changes — Instagram/Meta may change their platform, API access, privacy settings, or terms of service at any time. Such changes may affect the functionality, accuracy, or availability of our Service. We are not responsible for changes made by third-party platforms.

10. Limitation of Liability

• In no event shall Brain Energy LLC, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content or data obtained from the Service
  • Unauthorized access, use, or alteration of your data
  • Decisions or actions you take based on information from the Service
• Our total aggregate liability for all claims related to the Service shall not exceed the greater of: (a) the amount you paid us in subscription fees in the 12 months preceding the claim, or (b) $100 USD.
• Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Brain Energy LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party
• Any actions you take based on data obtained through the Service
• Your participation in the referral program

12. User Conduct & Responsibility

You acknowledge and agree that:

• You are solely responsible for your use of the Service and any consequences thereof.
• You will not use information obtained through the Service to harass, threaten, stalk, defame, or harm any individual.
• You will comply with all applicable laws in your jurisdiction, including privacy, data protection, and anti-stalking laws.
• You will respect the privacy and dignity of individuals whose public data may appear in the Service.
• You understand that Instagram activity data may have innocent explanations and agree not to make harmful assumptions based solely on data from the Service.

13. Termination

• By You — You may stop using the Service at any time. To cancel a subscription, manage it through your App Store or Google Play settings, or contact us for web purchases.
• By Us — We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including but not limited to violation of these Terms, fraudulent activity, or abuse of the referral program.
• Effect of Termination — Upon termination, your right to use the Service immediately ceases. Sections 8, 9, 10, 11, 14, and 15 survive termination.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at contact@brainenergy.app and attempt to resolve the dispute informally for at least 30 days.

14.2 Arbitration Agreement

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be in the State of Delaware, United States.

14.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found to be unenforceable, then the entire arbitration agreement shall be null and void.

14.4 Exceptions

Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction for matters related to intellectual property, data security, or unauthorized access.

14.5 Opt-Out

You have the right to opt out of the arbitration agreement by sending written notice to contact@brainenergy.app within 30 days of first using the Service. If you opt out, disputes will be resolved in the state or federal courts of Delaware.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. If you are a consumer in the European Union, you may also benefit from mandatory consumer protection provisions of your country of residence.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Brain Energy LLC regarding the Service and supersede all prior agreements and understandings.

18. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Brain Energy LLC.

19. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

20. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet outages, third-party platform changes or outages (including Instagram/Meta), cyberattacks, or pandemics.

21. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the revised Terms on the Website or through the App, along with the updated "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.
